Master Service Agreement & Legal Policies

CRITICAL REGULATORY DISCLOSURE

Taipei101 Network LLC is a Financial Technology Company, not a bank. We are a registered Money Services Business (MSB) with the U.S. Department of the Treasury's Financial Crimes Enforcement Network (FinCEN).

No Deposit Insurance

Funds held in digital wallets or account balances with Taipei101 are NOT insured by the FDIC, SIPC, or any government agency.

Compliance Responsibility

You are responsible for compliance with all applicable laws regarding financial transactions and cryptocurrency usage.

01Preamble and Acceptance of Terms

This Master Service Agreement ("Agreement") is a legally binding contract between you ("Client," "User," or "You") and Taipei101 Network LLC, a Limited Liability Company organized under the laws of the Commonwealth of Kentucky ("Provider," "We," "Us," or "Taipei101").

By creating an account, purchasing services, utilizing our Application Programming Interface (API), or accessing the vps.taipei platform, you acknowledge that you have read, understood, and agreed to be bound by the terms and conditions of this Agreement, along with our Acceptable Use Policy (AUP), Service Level Agreement (SLA), and Privacy Policy, which are incorporated herein by reference.

02Service Scope and Hybrid Nature

2.1 Unmanaged Infrastructure Services

Provider Responsibility

We are responsible solely for the availability of the physical hardware, power, environmental controls, and network connectivity to the public internet.

Client Responsibility

You are solely responsible for the installation, configuration, security, patching, and maintenance of your operating system and all software applications running thereon. We do not provide technical support for third-party software (e.g., Nginx, Docker, cPanel). Lack of technical expertise does not constitute grounds for a refund or service dispute.

2.2 Fintech and Digital Asset Services

Our Fintech services include the hosting of cryptocurrency wallets and the processing of digital asset transactions. You acknowledge that these services involve inherent risks, including but not limited to, the volatility of digital assets, the irreversibility of blockchain transactions, and the potential for regulatory changes that may impact service availability.

03Refund Policy, Billing, and Payment Terms

Strict Non-Refundable Policy

Due to the immutable nature of blockchain transactions and resource provisioning: ALL SALES ARE FINAL.

No refunds will be issued for any reason, except where explicitly required by law. Circumstances under which refunds are NOT granted include:

  • "Change of mind" or buyer's remorse
  • Inability to use software due to user error
  • Latency issues (if SLA met)
  • Service termination due to AUP violation

3.3 Cryptocurrency Payments

Irreversibility

Cryptocurrency payments (e.g., Bitcoin, Ethereum, USDT) are irreversible. Once a transaction is broadcast to the blockchain, it cannot be canceled or recovered.

Exchange Rate Risk

All invoices are denominated in USD. If paying via Cryptocurrency, the exchange rate is fixed at the moment the invoice is generated. Client assumes all exchange rate risks.

3.4 Payment Disputes, Chargebacks, and Collections

Any attempt to initiate a chargeback, reversal, or dispute regarding a valid charge is considered a material breach of this Agreement and potential fraud.

Financial Crimes Reporting

Chargebacks for valid services may be classified as "friendly fraud" or wire fraud. We reserve the right to report such activity to FinCEN and law enforcement authorities.

Collections

Accounts with chargebacks may be turned over to a third-party collection agency. You agree to pay all collection costs, including attorney's fees.

Termination

We will immediately and permanently terminate all services, blacklist the Client's identity/IP, and destroy all data.

04Anti-Money Laundering (AML) Compliance

4.1 FinCEN Registration: As a registered MSB, Taipei101 adheres to the Bank Secrecy Act (BSA) and the USA PATRIOT Act. We maintain an active Anti-Money Laundering (AML) program.

4.2 Know Your Customer (KYC): We reserve the right to require identity verification at any time. Failure to provide requested documents may result in immediate suspension without refund.

4.3 Suspicious Activity Reporting (SAR): If we suspect illegal activity, we are legally mandated to file a Suspicious Activity Report (SAR) with FinCEN. Federal law prohibits us from notifying you of such filing.

05Network Fair Use Policy (Bandwidth)

To ensure network stability, we enforce a strict Fair Use Policy (FUP).

The Standard

Approximately 4 Terabytes (TB) of transfer per $1.30 USD of monthly service fee paid.

Enforcement

We reserve the right to throttle port speeds (e.g., to 10Mbps) or suspend services if a user consistently saturates the uplink.

06Acceptable Use Policy (AUP)

The following activities are strictly prohibited. Violation will result in immediate termination without refund:

  • Hosting Child Sexual Abuse Material (CSAM)
  • Terrorism propaganda
  • Phishing/Scam sites
  • DDoS attacks / Botnets (C2)
  • Tor Exit Nodes
  • Sending unsolicited bulk email (SPAM)
  • Crypto Mining (Bitcoin, Monero, Chia) - STRICTLY PROHIBITED due to hardware degradation

07Limitation of Liability and Indemnification

7.1 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TAIPEI101 NETWORK LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF $100.00 USD OR THE AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

7.2 Data Responsibility

Taipei101 is not responsible for your data. You are solely responsible for maintaining off-site backups. We accept no liability for data loss due to hardware failure, payment suspension, or service termination.

7.3 Indemnification

You agree to indemnify and hold harmless Taipei101 Network LLC from any claims, damages, losses, and expenses (including attorneys' fees) arising out of your use of the Services or violation of this Agreement.

08Governing Law and Dispute Resolution

Governing Law

Commonwealth of Kentucky laws, without regard to conflict of law provisions.

Arbitration

Binding arbitration administered by AAA. Venue: Jefferson County, Kentucky.

Class Action Waiver

Claims must be brought in individual capacity, not as a plaintiff/class member in any class proceeding.

09Service Level Agreement (SLA)

99.9% Monthly Uptime Commitment

We use commercially reasonable efforts to make the Infrastructure Services available with a Monthly Uptime Percentage of at least 99.9%.

RemedyService Credits (10%-100%) based on downtime. Must request within 30 days.
